The process for successfully executing a corporate divestiture is different from that of selling a standalone entity. At times, we are called in by corporations to assist in the divestiture of non-core or under-performing, mid-sized businesses. We are cognizant of the pitfalls in processing a divestiture and take judicious steps to ensure success. For example, we guard against subsidiary management siding with a financial buyer for the opportunity to participate in the equity of the divested business. We try to limit reps and warranties, even though many buyers want to capitalize on the deep pockets of a corporate seller.
